This is an early prototype of the Commodore Magic Voice. The unit uses a modified C64 CP/M cartridge case. The usual Toshiba T6721 speech chip is present, as is the eprom. The unit uses two PAL16L8 chips for address decoding rather than the single large Gate Array in the production unit.
